The Director of Executive Compensation will lead the design, analysis, governance, and administration of PTC’s executive compensation programs. This role will provide expert counsel on executive pay strategy, market competitiveness, short- and long-term incentive design, and compensation-related governance and disclosure. Working closely with senior leadership and partners across Human Resources, Legal, Finance, Tax, Accounting, and Investor Relations, the Director will develop data-driven recommendations that align executive compensation with PTC’s business strategy, performance objectives, talent priorities, and shareholder interests. This is a highly visible individual-contributor role requiring deep executive compensation expertise, sound judgment, exceptional analytical capability, and the ability to communicate complex issues clearly. Key Responsibilities Executive Compensation Strategy and Design Lead the design, evaluation, and ongoing management of executive compensation programs, including base salary, annual incentives, and long-term equity incentives. Develop compensation recommendations for executive leaders based on market data, internal equity, business performance, individual contribution, and talent considerations. With our third party executive compensation consultant and partner to evaluate program effectiveness and recommend changes that strengthen alignment between executive rewards, company performance, and shareholder interests. Monitor executive compensation trends, competitive practices, regulatory developments, and governance expectations within the enterprise software and technology sectors. Provide subject-matter expertise on executive hiring, promotions, retention arrangements, severance, and other compensation-related matters. Manage the third party executive compensation consultant to ensure timely delivery and accuracy of Board Compensation & People Committee materials. Develop financial models and scenario analyses related to executive pay, incentive-plan design, performance outcomes, equity usage, and dilution. Maintain strong controls and data integrity across executive compensation analyses, records, and reporting. Compensation Committee and Board Support Lead the development of Compensation Committee materials, analyses, presentations, and recommendations in partnership with our third party executive compensation consultant, senior leadership and key stakeholders. Manage the annual Compensation Committee calendar and coordinate the preparation and review of required materials ensuring timely delivery and accuracy of board materials Support senior leaders in preparing for Compensation Committee discussions and decisions. Maintain accurate documentation of compensation decisions and ensure their timely implementation. Proxy Disclosure and Regulatory Compliance Lead the preparation of the Compensation Discussion and Analysis and executive compensation tables for PTC’s annual proxy statement in partnership with Legal, Finance, and other stakeholders. Ensure executive compensation programs and practices comply with applicable securities, tax, accounting, disclosure, and corporate-governance requirements. Support required analyses and disclosures, including pay-versus-performance, CEO pay ratio, equity-plan information, and related executive compensation matters. Monitor evolving legislation, regulation, and governance standards and assess their potential impact on PTC’s compensation programs. Partner with Legal and Finance on compensation-related SEC filings and other external disclosures. Cross-Functional Partnership and Program Execution Serve as the internal subject-matter expert on executive compensation, providing clear and well-supported guidance to senior leaders and cross-functional partners. Partner with Finance, Accounting, and Tax to model compensation costs and assess accounting, tax, equity-usage, and dilution implications. Collaborate with HR leadership and HR Business Partners to ensure executive compensation decisions are implemented accurately and communicated effectively. Partner with stock administration, payroll, and HR operations to support the accurate and timely delivery of executive compensation programs. Manage highly confidential executive and Compensation Committee information with discretion and sound judgment. Identify and implement improvements to executive compensation processes, controls, documentation, and governance. Qualifications Bachelor’s degree in finance, business, human resources, economics, or a related field, or equivalent professional experience. At least 10 years of progressively responsible compensation experience, with substantial direct experience in executive compensation at a publicly traded company. Deep knowledge of executive compensation strategy, annual and long-term incentive design, equity compensation, market benchmarking, and compensation governance. Demonstrated experience developing materials and recommendations for Compensation Committees and senior executive audiences. Direct experience supporting proxy disclosure, including the Compensation Discussion and Analysis and executive compensation tables. Strong working knowledge of relevant SEC disclosure requirements and executive compensation-related tax, accounting, and governance considerations. Advanced financial modeling and analytical skills, with the ability to translate complex data into sound, actionable recommendations. Exceptional written and verbal communication skills, including the ability to present technical compensation matters clearly and persuasively. Strong project-management skills and the ability to coordinate complex, time-sensitive work across multiple functions. Demonstrated discretion, integrity, and judgment when handling sensitive and confidential information. Experience within an enterprise software or technology company is strongly preferred. PTC carefully considers a wide range of factors when determining compensation. The anticipated annual salary range for this position is between $180,000 - $240,000. The salary range reflects a good-faith estimate of compensation at the time of posting. Actual compensation may vary based on a candidate's skills, qualifications, experience, and location.
