Your Job We are seeking an experienced lawyer to advise on securities law matters and strategic transactions across a diverse portfolio of investments and business initiatives. You will partner directly with business leaders and legal teams on public company investments, mergers and acquisitions, venture capital investments, and other complex transactions that create long-term value. Our Team Our team supports mergers and acquisitions, investments, real estate, and other strategic transactions for Koch, Inc. and its subsidiaries, including Georgia-Pacific, Molex, and Infor. We also lead securities compliance and reporting and advise on corporate governance matters. With lawyers based across our major hubs and several satellite locations, the team handles hundreds of transactions each year. What You Will Do Advise on securities law compliance, regulatory filings, internal training, and other matters relating to public company investments Partner with business teams on the strategy and execution of public company investments, from minority investments through take-private transactions Structure, negotiate, and execute mergers and acquisitions, venture capital and minority investments, joint ventures, and other strategic transactions in collaboration with in-house counsel, corporate development teams, and outside counsel Manage all phases of assigned transactions, including structuring, legal due diligence, negotiation and documentation, signing, and closing Support senior transactional counsel on the team’s most complex matters Who You Are (Basic Qualifications) Juris Doctor from an accredited law school Active membership in good standing in at least one U.S. state bar Law firm experience advising on securities matters and strategic transactions Experience advising on securities law, including public company reporting or compliance matters Experience supporting mergers and acquisitions, venture capital investments, or other strategic transactions What Will Put You Ahead Three to six years of relevant law firm experience Experience leading public or private company mergers, tender offers, or other take-private transactions Experience advising on minority investments and venture capital transactions Experience leading securities compliance, regulatory filing, or related training initiatives Experience partnering directly with business teams on transaction strategy and execution For this role, we anticipate paying $210,000 - $250,000 per year. This role is eligible for variable pay, issued as a monetary bonus or in another form. At Koch companies, we are entrepreneurs.
