Job Purpose / Summary: This role is based in Singapore. This role will oversee, coordinate, manage and advise on all aspects of legal and regulatory affairs of AGCS SE Branch offices (Singapore, Hong Kong, India, South Korea) and its subsidiaries (Japan) within Asia ("Asia Region") to ensure the protection of AGCS's legal rights and enable its strategic business development in compliance with applicable laws and regulations. Provide strategic direction and set priorities with regard to legal matters for the AGCS Global infrastructure and business within the Asia Region. Advocate AGCS positions to regulators. Establish and maintain organizational structure, scope and processes of the Legal function as 2nd line of defense under the AGCS Legal Policy in line with regulatory requirements and lead and manage the Legal Asia Team, in close collaboration with the Global Head of Insurance Law and Regional Head of Legal Europe & Asia, fostering collaboration and adhesion among members of the team. Key Responsibilities Legal Advice, Team Management and Project Management Manage a team of legal professionals, setting targets, priorities, defining roles and responsibilities and steering the Legal Function of AGCS in Asia Region. Identify legal risk areas and provide, or procure the provision of, independent legal advice and support to the management, functions and employees of AGCS in Asia for relevant legal and regulatory matters across relevant jurisdictions. This includes the analysis of legal queries, the development and evaluation of solutions and the written or oral presentation to internal and external customers. Key focus areas are: corporate law, supervisory law, insurance contract law, IT law, data privacy/document management, commercial contracts and ancillary areas of law. Responsible for planning, coordinating, and driving legal and regulatory projects to successful completion. The role ensures that legal initiatives are delivered efficiently, stakeholders are aligned, risks are managed, and project objectives support the organization's strategic and regulatory requirements. Act as sounding board for the AGCS leadership team in Asia regarding legal and regulatory issues relating to the implementation or change of strategy, structure, processes and products of AGCS Global in Asia. Corporate Structure and Governance Provide strategic direction to the AGCS management in Asia and other areas with regard to the legal entity structure of AGCS SE and subsidiaries and matters of corporate governance. Ensure and coordinate proper maintenance of legal entities (including Japan) and AGCS branch offices in Asia Region from a legal perspective, including corporate secretary services and licensing. Design and adjust the corporate and regulatory platform of AGCS in Asia Region in line with business and regulatory requirements. Transactional Work, Wordings/Contracts and Business Support Provide, or procure the provision of, transactional legal support for the AGCS infrastructure and business including corporate restructuring, regional expansion, strategic initiatives (e.g. digitalization), project activities, contract drafting/review for individual transactions across all functions, lines of business and jurisdictions as appropriate. Provide, or procure the provision of, legal support for the development and maintenance of standard policy and reinsurance wordings and other types of commercial contracts for relevant functions, lines of business and jurisdictions of AGCS Region Asia. Supporting the business proactively and solution oriented in all business and change topics with legal and regulatory implications . Coordinate the use of external law firms and reduce the amount of fees spent on those mandates while increasing or maintaining the level of quality. Dispute Resolution and Litigation Contribute to the preparation and defense of legal claims against AGCS SE and its subsidiaries and lead or oversee negotiation and steering of major lawsuits. Expert advice & leadership for AGCS Global Legal Act as thought leader and expert for AGCS Global Legal within area of distinct expertise; assume leadership and actively contribute to expert teams within AGCS Legal. Key Experience / Education / Skills Required Experience Substantial experience in financial services industry as inhouse counsel or external counsel in respect of insurance/reinsurance matters. Ability to manage and oversee legal matters of multi-jurisdictional entity with regional / global footprint. Experience in understanding and handling of complex legal and regulatory issues, as well as challenging business scenarios in international. Solid knowledge about risks and controls applicable to insurance business. Experience in overseeing multi-jurisdictional teams and cross-functional processes; cross-cultural and functional leadership ability in solution-oriented environment. Experience in managing & resolving conflicts or problems based on a clear value compass. Effective communicator with a broad range of stakeholders and in diverse or challenging business situations. Required Education Preferably Master’s Degree and recognized legal professional qualifications. Preferably Singapore or Hong Kong Law Degree. Technical Skills Expert knowledge of a breadth of substantive legal disciplines, including insurance, corporate and contract law, accounting standards, and litigation processes. Advanced legal knowledge across multiple countries and jurisdictions in which AGCS operates. Understanding of legal and regulatory environment (including relevant policies, laws and regulations) across multiple jurisdictions. Drafting and negotiating of contracts and strategic management of contractual disputes. Expertise in integrating AI into various business functions, enhancing efficiency, and fostering a culture of data-driven innovation is crucial. General Skills Project steering and AZ Insurance Know How. Analytical Skills: Ability to analyze highly complex data, from multiple sources, in detail; identify and resolve issues before they transpire. Negotiation and conflict management: Ability to negotiate best position for AGCS, and client, often in contentious situations, managing conflicting priorities of various parties. Communication & Presentation: Ability to express ideas and messages clearly, both written and verbally. Interpersonal skills & Initiative: Ability to influence, taking on board political sensitivities and to take initiative and resolve problems with high degree of autonomy.
